1. Introduction
These Terms and Conditions (“Terms”) govern the logistics services (“Services”) provided by Brightbox Lighting Ltd (“The Company”) for the collation, storage, consolidation, and delivery of lighting products sourced from multiple suppliers. By engaging the Company’s Services, the Client agrees to be bound by these Terms.
2. Scope of Services
2.1 The Company provides order collation from multiple suppliers, temporary storage of goods, counting and verification upon receipt, and the repacking of goods into a consolidated, “mapped” delivery arranged room‑by‑room and floor‑by‑floor.
2.2 The Company may provide guidelines or general advice regarding installation sequencing or recommended handling practices; however, such guidance is non‑binding and offered solely for convenience.
2.3 Brightbbox Logistics is not an installation service and accepts no responsibility for installation‑related decisions, performance, or errors.
3. Receipt and Storage of Goods
3.1 Goods received from suppliers will be inspected for visible damage and counted to confirm quantities.
3.2 The Company is not responsible for supplier errors, including but not limited to incorrect specifications, finishes, quantities, or manufacturing defects. Where these kinds of errors are identified we will endeavour to contact both Client and Supplier and support all parties to ensure errors are rectified.
3.3 Goods will be stored until all items required for the consolidated delivery have been received, unless otherwise instructed in writing by the Client.
4. Consolidated Delivery (“Mapped Delivery”)
4.1 Once all items have been received, Brightbox will consolidate the goods and package them by room and floor, based on information provided by the Client.
4.2 The accuracy of the “mapped” delivery depends on the completeness and correctness of information supplied by the Client. The Company is not liable for delays, mis‑allocation, or logistical issues arising from incomplete or inaccurate project data.
4.3 The Company does not guarantee compatibility of products with the installation site; this remains the Client’s responsibility.
5. Delivery and Client Inspection
5.1 Deliveries will be made to the address specified by the Client.
5.2 The Client, or a representative, must inspect all delivered goods on the day of delivery. Any discrepancies, damages, or missing items must be reported to the Company within 24 hours.
5.3 Failure to inspect and report within the stated timeframe constitutes acceptance of the delivery as complete and satisfactory.
6. Liability
6.1 The Company’s liability is limited to the services expressly described in these Terms.
6.2 The Company is not liable for:
– Installation errors, mis‑wiring, or contractor‑related issues.
– Delays caused by suppliers or external parties.
– Consequential or indirect losses arising from project delays, installation defects, or third‑party actions.
6.3 The Company’s total liability for any claim arising from the Services shall not exceed the total fees paid by the Client for the specific service in question.
7. Client Responsibilities
7.1 The Client must ensure all product information, room schedules, project plans, and delivery instructions provided to the Company are accurate and up to date.
7.2 The Client is responsible for coordinating installation contractors and ensuring that delivered products are properly installed in accordance with manufacturer and regulatory guidelines.
8. Fees and Payment
8.1 Fees for the Services will be outlined in the Company’s quotation or service agreement.
8.2 Payment must be made in accordance with the invoicing schedule. The Company reserves the right to withhold delivery if payment terms are not met.
9. Force Majeure
The Company is not liable for delays or failure to perform the Services due to events beyond its reasonable control, including but not limited to natural disasters, transport disruptions, supplier failures, or regulatory restrictions.
Brightbox holds appropriate insurances for its warehouse storage, but cannot be held responsible if something outside of these insurance terms should occur.
10. Amendments
The Company may update these Terms from time to time. Any revisions will be communicated to the Client in writing and will apply to future Services.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws applicable in England and Wales.
